Section 1 — Introduction and Acceptance of Terms

1.1 Agreement to Terms. Welcome to JustScribes.com (the “Platform”). These Terms of Service (“Terms,” “Agreement”) are a legally binding contract between you (“User,” “you,” “your”) and JustScribes.com, its owners, operators, and affiliates (collectively, “JustScribes,” “we,” “us,” “our”). These Terms govern your access to and use of the Platform, including all content, features, services, tools, and functionality offered by JustScribes.com, whether accessed via a web browser, mobile device, application, or any other means.

1.2 Acceptance by Use. BY ACCESSING, BROWSING, REGISTERING FOR, OR OTHERWISE USING JUSTSCRIBES.COM IN ANY MANNER WHATSOEVER, YOU EXPRESSLY ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE LEGALLY BOUND BY THESE TERMS IN THEIR ENTIRETY, INCLUDING ALL INCORPORATED POLICIES AND AGREEMENTS REFERENCED HEREIN. Your use of the Platform constitutes your unconditional acceptance of these Terms as of the date of first access.

1.3 Rejection of Terms. IF YOU DO NOT AGREE TO THESE TERMS OF SERVICE IN THEIR ENTIRETY, YOU MUST IMMEDIATELY CEASE ALL USE OF THE PLATFORM AND MAY NOT ACCESS OR USE JUSTSCRIBES.COM IN ANY CAPACITY. No use of the Platform — including passive browsing — is permitted by any individual who does not accept these Terms.

1.4 Legal Capacity. By accepting these Terms, you represent and warrant that you have the legal capacity to enter into a binding contract and that you are not prohibited from doing so under the laws of any applicable jurisdiction.

1.5 Incorporated Policies. These Terms incorporate by reference all additional policies, guidelines, and agreements posted on the Platform, including but not limited to the Privacy Policy, Content Standards, and Community Guidelines, all of which form part of this Agreement.

Section 2 — Definitions

For the purposes of these Terms of Service, the following definitions shall apply:

2.1 “Platform” means JustScribes.com, including its website, all associated subdomains, web pages, applications, services, tools, databases, features, functionalities, and any other digital properties operated by JustScribes.com, whether now existing or hereafter created.

2.2 “User” means any individual or entity who accesses, visits, browses, registers for, or otherwise uses the Platform in any capacity, including but not limited to registered Members, guests, and visitors.

2.3 “Content” means any and all text, written works, articles, stories, poems, devotionals, commentary, essays, blog posts, forum posts, messages, images, photographs, graphics, audio, video, data, links, metadata, tags, comments, and any other materials or information that are displayed, published, submitted, transmitted, posted, uploaded, or otherwise made available on or through the Platform, whether by JustScribes.com, its users, or third parties.

2.4 “Member” means a User who has successfully completed the registration process on the Platform and holds an active Account, subject to the terms and conditions set forth herein.

2.5 “Owner/Operator” means the individual(s), entity, or entities who own, operate, manage, and control JustScribes.com, together with their respective officers, directors, employees, agents, representatives, successors, and assigns.

2.6 “Account” means the registered user profile created by a Member upon completing the registration process on the Platform, through which the Member may access Member-exclusive features, post Content, and participate in Platform activities.

2.7 “User Content” means any Content submitted, uploaded, posted, published, transmitted, or otherwise made available on or through the Platform by a User or Member, including but not limited to written works, comments, profile information, and messages. User Content expressly excludes any Content owned, created, or published directly by JustScribes.com or its authorized agents.

2.8 “Intellectual Property” means all patents, trademarks, service marks, trade names, trade dress, copyrights, database rights, design rights, domain names, trade secrets, proprietary technology, and all other forms of intellectual property, whether registered or unregistered, throughout the world.

2.9 “Christian Faith-Based Content” means any Content that reflects, incorporates, promotes, discusses, or is informed by Christian beliefs, theology, Scripture, devotional practice, prayer, worship, Christian worldview, Biblical interpretation, or any aspect of the Christian faith tradition.

2.10 “Terms” or “Agreement” means these Terms of Service, as amended from time to time, together with all incorporated policies, guidelines, and annexes.

Section 3 — User Accounts

3.1 Registration Requirement. Certain features of the Platform are available only to registered Members. To become a Member, you must complete the registration process by providing accurate, current, complete, and truthful information as prompted by the registration form. JustScribes.com reserves the right to accept or reject any registration application at its sole and absolute discretion.

3.2 Accuracy of Information. You represent and warrant that all information you provide during registration and thereafter in connection with your Account is and shall remain true, accurate, current, and complete. You agree to promptly update your Account information to maintain its accuracy at all times. JustScribes.com shall not be liable for any errors, inaccuracies, or omissions arising from your failure to provide or maintain accurate information.

3.3 Account Security. You are solely and entirely responsible for maintaining the confidentiality and security of your Account credentials, including your username, password, and any associated authentication information. You agree to immediately notify JustScribes.com of any unauthorized use of your Account or any other security breach of which you become aware. JustScribes.com shall not be liable for any loss or damage arising from your failure to safeguard your Account credentials or from any unauthorized access to your Account.

3.4 Account Responsibility. You are fully responsible for all activities, actions, and omissions that occur under your Account, whether or not authorized by you. JustScribes.com assumes no responsibility for any unauthorized access to or use of your Account that results from your failure to comply with these Terms or to maintain adequate security of your credentials.

3.5 Prohibition on Account Sharing. Your Account is personal to you and may not be shared with, transferred to, or used by any other individual or entity without the prior written consent of JustScribes.com. You may not sell, transfer, assign, sublicense, or otherwise convey your Account or any rights therein to any third party. Any such unauthorized transfer shall be null and void and may result in immediate termination of your Account.

3.6 One Account Per Person. Unless expressly authorized by JustScribes.com in writing, each individual is permitted to maintain only one active Account on the Platform. The creation of multiple Accounts for any purpose, including to circumvent a suspension or ban, is strictly prohibited and may result in the termination of all associated Accounts.

3.7 Age Requirements. The Platform is intended for users who are at least thirteen (13) years of age. Users between the ages of thirteen (13) and seventeen (17) may only use the Platform with the express consent and active supervision of a parent or legal guardian who agrees to be bound by these Terms on the minor’s behalf. Users who are eighteen (18) years of age or older represent that they are legally capable of entering into this Agreement without parental or guardian consent. BY REGISTERING FOR AN ACCOUNT, YOU REPRESENT AND WARRANT THAT YOU MEET THE APPLICABLE AGE REQUIREMENT. JustScribes.com reserves the right to request proof of age and to terminate any Account reasonably suspected of being held by an individual below the minimum age.

3.8 Suspension and Termination by Platform. JustScribes.com reserves the right, in its sole and absolute discretion, to suspend, restrict, disable, or permanently terminate any Account at any time, with or without prior notice and with or without cause, including but not limited to any suspected or actual violation of these Terms. Decisions regarding Account suspension or termination are final unless JustScribes.com, in its sole discretion, elects to reconsider.

Section 4 — Acceptable Use Policy

4.1 Permitted Use. Subject to these Terms, JustScribes.com grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for its intended purpose as an online community and hosting platform for written content and creative works. You may read, submit, comment upon, and interact with Content on the Platform in accordance with these Terms and all applicable Community Guidelines.

4.2 General Conduct Standards. All Users are expected to conduct themselves in a manner that is respectful, constructive, and consistent with the spirit and values of the JustScribes.com community. Users shall not engage in any conduct that is disruptive, harmful, threatening, abusive, or otherwise objectionable, as determined by JustScribes.com in its sole discretion.

4.3 Compliance with Laws. You agree to comply with all applicable local, provincial, state, national, and international laws, statutes, ordinances, regulations, treaties, and governmental directives in connection with your use of the Platform. You are solely responsible for ensuring that your use of the Platform and any Content you submit complies with all applicable legal requirements.

4.4 Respect for Other Users. You agree to treat all other Users with dignity and respect. You shall not engage in conduct designed to intimidate, belittle, demean, or otherwise harm any other User. Disagreements and differences of opinion shall be expressed in a civil and constructive manner consistent with community standards.

4.5 Authentic Engagement. You agree to engage with the Platform authentically and in good faith. You shall not manipulate ratings, reviews, rankings, or engagement metrics through artificial means, coordinated inauthentic behavior, or any other deceptive practice.

4.6 Reporting Violations. If you become aware of any Content or conduct on the Platform that violates these Terms or applicable law, you are encouraged to report such violations to JustScribes.com through the Platform’s designated reporting mechanisms. JustScribes.com will review all reports in good faith but is not obligated to take any particular action in response to a report.

Section 5 — Prohibited Conduct

5.1 General Prohibition. You agree that you will not, under any circumstances, engage in any of the following conduct while using the Platform. Violation of any prohibition set forth in this Section shall constitute a material breach of these Terms and may result in immediate Account suspension or termination, as well as potential civil or criminal liability.

5.2 Prohibited Conduct — Specific Prohibitions. Without limiting the generality of the foregoing, you are expressly prohibited from:

1. Harassment and Abuse: Harassing, threatening, intimidating, stalking, bullying, or otherwise engaging in conduct directed against any User, Member, employee, agent, or representative of JustScribes.com, including sending repeated unsolicited communications intended to distress or coerce any person;
2. Hate Speech and Discriminatory Content: Posting, transmitting, or otherwise making available any Content that promotes, incites, glorifies, or advocates discrimination, hatred, violence, or hostility against any individual or group on the basis of race, ethnicity, national origin, religion, gender, gender identity, sexual orientation, disability, age, or any other protected characteristic;
3. Spam and Unsolicited Communications: Sending, distributing, or facilitating unsolicited bulk communications, chain letters, pyramid schemes, junk mail, or any other form of spam to any User or through any Platform feature;
4. Illegal Content: Posting, uploading, transmitting, or otherwise making available any Content that is unlawful, illegal, or that facilitates, promotes, or enables illegal activity under any applicable law or regulation;
5. Child Exploitation: Posting, sharing, or transmitting any Content that sexually exploits, depicts, or endangers minors, or that violates any law relating to the protection of children. Such violations will be reported to the appropriate law enforcement authorities;
6. Impersonation: Impersonating any person or entity, falsely claiming affiliation with any person or entity, or misrepresenting your identity, credentials, or authority in any manner, including creating a false impression that your Content originates from or is endorsed by JustScribes.com;
7. Malware and Harmful Code: Uploading, transmitting, or distributing any virus, worm, Trojan horse, ransomware, spyware, adware, malware, corrupted data, or any other malicious or harmful code or software designed to interrupt, damage, destroy, or limit the functionality of any computer system, network, or device;
8. Unauthorized Access and Hacking: Attempting to gain unauthorized access to any portion of the Platform, its servers, databases, or networks; attempting to probe, scan, or test the vulnerability of the Platform; bypassing or circumventing any security measures, authentication systems, or access controls; or engaging in any form of denial-of-service attack;
9. Intellectual Property Violations: Copying, reproducing, distributing, publicly performing, publicly displaying, creating derivative works of, or otherwise infringing upon the intellectual property rights of JustScribes.com or any third party, including submitting Content to which you do not hold the necessary rights;
10. Commercial Solicitation: Using the Platform for unsolicited commercial advertising, marketing, solicitation, or promotion of any goods, services, websites, or businesses without the prior written consent of JustScribes.com;
11. Data Harvesting: Using any automated means, including bots, scrapers, crawlers, spiders, or similar tools, to access, collect, extract, or harvest data or Content from the Platform without the prior written consent of JustScribes.com;
12. Interference with Platform Operations: Taking any action that imposes an unreasonable or disproportionately large load on the Platform’s infrastructure; interfering with the proper working of the Platform; or disrupting the experience of other Users;
13. Fraudulent Activity: Engaging in any fraudulent, deceptive, or misleading conduct, including providing false information, engaging in identity fraud, or otherwise misrepresenting yourself or your Content;
14. Circumvention of Restrictions: Attempting to circumvent, override, or otherwise defeat any access restrictions, geographic restrictions, or content filters implemented by JustScribes.com; and
15. Facilitating Prohibited Conduct: Assisting, enabling, encouraging, or facilitating any other person or entity in engaging in any of the prohibited conduct described in this Section.

5.3 Consequences. JustScribes.com reserves the right to investigate any suspected violation of this Section and to take such action as it deems appropriate, in its sole discretion, including removing Content, suspending or terminating Accounts, and cooperating with law enforcement authorities.

Section 6 — Christian Faith-Based Content — User Acknowledgment and Waiver

6.1 Nature and Identity of the Platform. JustScribes.com is, by its foundational nature and deliberate design, an online platform that intentionally, prominently, and unapologetically features Christian faith-based content as a core, integral, and defining characteristic of its identity and community. The Platform is built upon and expressly celebrates a Christian worldview and values. As such, Users of the Platform will encounter, and must expect to encounter, Content of a Christian faith-based nature throughout every aspect of the Platform, including but not limited to:

1. Biblical Scripture, including direct quotations from and references to the Holy Bible in any translation;
2. Christian devotional writing, reflections, and meditations;
3. Faith-based commentary, editorial content, and perspective;
4. Christian theological discussion, doctrine, and exposition;
5. Prayer content, including written prayers, prayer requests, and intercessory content;
6. Content reflecting Christian moral, ethical, and social values;
7. References to Christian historical tradition, church history, and denominational perspectives;
8. Evangelistic content, testimonials, and faith-sharing writings; and
9. Any other Content that reflects, promotes, celebrates, or is informed by the Christian faith tradition.

6.2 Express Acknowledgment. BY CREATING AN ACCOUNT ON OR USING THE PLATFORM IN ANY MANNER, EACH USER EXPRESSLY, KNOWINGLY, AND VOLUNTARILY ACKNOWLEDGES AND AGREES THAT:

1. They have been fully and clearly informed that JustScribes.com is a Christian faith-based platform and that Christian faith-based content is a pervasive, fundamental, and non-negotiable feature of the Platform;
2. They understand that they will encounter Christian faith-based content as described in Section 6.1 throughout their use of the Platform;
3. Their use of the Platform constitutes their free, informed, and voluntary choice to access a platform that prominently and intentionally features such content; and
4. The presence of Christian faith-based content on the Platform is a core feature of the service offered by JustScribes.com and not incidental to its operation.

6.3 No Discrimination, Harassment, or Harm. User expressly acknowledges and agrees that:

1. The presence of Christian faith-based content on the Platform does not constitute discrimination, harassment, hostile environment, or harm of any kind against any User;
2. Exposure to religious content, including Biblical Scripture, theological writing, devotional content, or expressions of Christian faith, does not in itself give rise to any legal cause of action, right of recovery, or claim for damages of any nature; and
3. JustScribes.com’s operation as a faith-based platform is a lawful expression of its identity, mission, and values, fully protected under applicable law.

6.4 Comprehensive Legal Waiver. IN CONSIDERATION OF BEING PERMITTED TO ACCESS AND USE THE PLATFORM, AND AS A MATERIAL AND NON-NEGOTIABLE CONDITION OF SUCH ACCESS AND USE, EACH USER EXPRESSLY, KNOWINGLY, VOLUNTARILY, AND IRREVOCABLY WAIVES, RELEASES, RELINQUISHES, AND FOREVER DISCHARGES ANY AND ALL CLAIMS, RIGHTS, DEMANDS, SUITS, CAUSES OF ACTION, PROCEEDINGS, JUDGMENTS, AND LIABILITIES OF ANY KIND OR NATURE WHATSOEVER, WHETHER NOW KNOWN OR UNKNOWN, SUSPECTED OR UNSUSPECTED, FIXED OR CONTINGENT, THAT THE USER HAS, HAD, OR MAY IN THE FUTURE HAVE AGAINST JUSTSCRIBES.COM, ITS OWNER(S), OPERATOR(S), DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, AGENTS, MEMBERS, CONTRIBUTORS, AFFILIATES, SUCCESSORS, OR ASSIGNS (COLLECTIVELY, THE “RELEASED PARTIES”), ARISING OUT OF, RELATING TO, OR IN CONNECTION WITH:

1. The User’s exposure to, viewing of, reading of, or interaction with any Christian faith-based content on the Platform, including any content described in Section 6.1;
2. Any offense, discomfort, disagreement, distress, or reaction of any nature that the User experiences as a result of encountering Christian faith-based content on the Platform;
3. The Platform’s identity, design, curation, promotion, or operation as a Christian faith-based community; or
4. Any assertion that the Platform’s faith-based nature or the content hosted thereon constitutes discrimination, harassment, hostile environment, or any other unlawful conduct.

This waiver applies regardless of the legal theory under which any such claim might be brought, including but not limited to claims sounding in contract, tort, civil rights, consumer protection, anti-discrimination law, or any other applicable law or regulation, and regardless of whether such claim is brought in any court of law or equity, in arbitration, before any administrative or governmental body or agency, or in any other forum of any kind.

6.5 Material Condition of Use. THE USER EXPRESSLY ACKNOWLEDGES AND AGREES THAT THIS WAIVER IS A MATERIAL, FUNDAMENTAL, AND NON-NEGOTIABLE CONDITION OF THE USER’S ACCESS TO AND USE OF THE PLATFORM. JUSTSCRIBES.COM WOULD NOT MAKE THE PLATFORM AVAILABLE TO THE USER IN THE ABSENCE OF THIS WAIVER. THE USER FURTHER ACKNOWLEDGES THAT THEY HAVE HAD THE OPPORTUNITY TO SEEK INDEPENDENT LEGAL COUNSEL PRIOR TO ACCEPTING THESE TERMS AND THIS WAIVER, AND THAT THEY ENTER INTO THIS WAIVER FREELY, VOLUNTARILY, AND WITH FULL KNOWLEDGE OF ITS LEGAL EFFECT.

6.6 Non-Negotiable Term. This Section 6 constitutes a core, non-negotiable term of these Terms of Service. No modification, waiver, or limitation of the provisions of this Section shall be effective unless made in writing and signed by an authorized representative of JustScribes.com. Users who do not agree to the acknowledgments and waiver set forth in this Section are not permitted to use the Platform and must immediately cease all access and use.

Section 7 — Intellectual Property Rights

7.1 Ownership of Platform. The Platform, including all of its design, layout, architecture, user interface, graphics, compilation, software, underlying code, algorithms, databases, methodologies, trade secrets, and proprietary content created by or for JustScribes.com (collectively, “Platform IP”), is and shall remain the exclusive property of JustScribes.com and its licensors. All rights, title, and interest in and to the Platform IP are reserved by JustScribes.com.

7.2 Copyright Notice. The content, design, and compilation of the Platform are protected by copyright law and other applicable intellectual property laws and treaties throughout the world. Copyright © JustScribes.com. All rights reserved. Unauthorized reproduction, distribution, public display, transmission, or creation of derivative works of any Platform IP is strictly prohibited.

7.3 Trademarks. The name “JustScribes.com,” the JustScribes logo, and any other trademarks, service marks, trade names, logos, and brand identifiers used on the Platform are the property of JustScribes.com or its licensors. Nothing in these Terms shall be construed as granting any license or right to use any trademark, service mark, or logo of JustScribes.com without the prior written consent of JustScribes.com. Use of any JustScribes.com trademark in any manner that is likely to cause confusion, dilution, or tarnishment is strictly prohibited.

7.4 License to Users. Subject to your compliance with these Terms, JustScribes.com grants you a limited, non-exclusive, non-transferable, revocable, personal license to access and use the Platform solely for its intended purposes. This license does not include any right to: (a) reproduce or distribute any portion of the Platform for commercial purposes; (b) create derivative works based on Platform IP; (c) reverse engineer, decompile, or disassemble any portion of the Platform; or (d) remove or alter any proprietary notices, labels, or marks on the Platform.

7.5 Prohibition on Unauthorized Use. Any use of the Platform IP not expressly authorized by these Terms is strictly prohibited and shall constitute an infringement of JustScribes.com’s intellectual property rights, for which JustScribes.com may seek all available legal and equitable remedies, including injunctive relief and monetary damages.

7.6 Third-Party Intellectual Property. JustScribes.com respects the intellectual property rights of third parties and expects its Users to do the same. JustScribes.com will respond to notices of alleged copyright infringement that comply with applicable law and are properly submitted to JustScribes.com’s designated agent. Repeat infringers’ Accounts will be terminated.

Section 8 — User Content and Content Licensing

8.1 Ownership of User Content. Subject to the license granted in Section 8.2 below, you retain all ownership rights you hold in the original User Content that you submit or post to the Platform. JustScribes.com does not claim ownership of your original User Content.

8.2 License Grant to JustScribes.com. By submitting, posting, uploading, or otherwise making available any User Content on or through the Platform, you hereby grant to JustScribes.com a non-exclusive, worldwide, royalty-free, fully paid-up, sublicensable, transferable, and perpetual license to use, access, store, reproduce, modify, adapt, translate, create derivative works of, distribute, publicly perform, publicly display, transmit, and otherwise exploit your User Content, in whole or in part, in any media formats and through any media channels now known or hereafter developed, in connection with the operation, promotion, improvement, and expansion of the Platform and JustScribes.com’s business. This license continues even after you remove your User Content from the Platform to the extent that JustScribes.com has already distributed or shared such content in connection with Platform operations.

8.3 Sublicensing. The license granted in Section 8.2 includes the right of JustScribes.com to sublicense User Content to third-party service providers and partners solely to the extent necessary to operate and provide the Platform’s services and features.

8.4 Representations and Warranties Regarding User Content. By submitting User Content, you represent and warrant that:

1. You are the original author and sole creator of the User Content, or you have obtained all necessary rights, licenses, consents, and permissions to post the User Content and to grant JustScribes.com the license described in Section 8.2;
2. The posting of your User Content on the Platform does not and will not violate or infringe upon any intellectual property rights, privacy rights, publicity rights, or any other rights of any third party;
3. Your User Content does not contain any material that is unlawful, defamatory, obscene, harassing, threatening, or otherwise violates any applicable law or these Terms; and
4. You have obtained all necessary consents and releases from any identifiable individuals appearing in or referenced by your User Content.

8.5 Moral Rights Waiver. To the extent permitted by applicable law, you hereby irrevocably waive any and all moral rights, rights of attribution, or similar rights you may have in your User Content with respect to JustScribes.com’s exercise of the license granted in Section 8.2.

8.6 Platform’s Right to Remove Content. JustScribes.com reserves the absolute right, in its sole and complete discretion, to review, screen, modify, refuse, remove, or permanently delete any User Content at any time, with or without notice, and for any reason or no reason. JustScribes.com shall not be liable to any User for any removal or modification of User Content.

8.7 No Obligation to Host. JustScribes.com is under no obligation to host, publish, store, maintain, or display any User Content and may cease displaying or hosting any User Content at any time at its sole discretion.

Section 9 — Content Standards

9.1 General Standards. All User Content submitted to the Platform must comply with the Acceptable Use Policy set forth in Section 4, the prohibitions set forth in Section 5, and all additional content standards set forth in this Section. These standards apply to the entirety of User Content and to each individual component thereof.

9.2 Prohibited Content. User Content must not:

1. Be defamatory, libelous, or slanderous of any individual, entity, or organization;
2. Be obscene, pornographic, sexually explicit, or otherwise offensive in a manner that violates community standards of decency;
3. Be unlawful under any applicable law or regulation, or facilitate or promote any unlawful activity;
4. Constitute harassment, abuse, threats, or intimidation of any person;
5. Infringe upon or misappropriate the intellectual property rights, privacy rights, or publicity rights of any person or entity;
6. Contain false, misleading, or deceptive information presented as fact;
7. Contain unsolicited advertising, promotional materials, or spam of any kind; or
8. Be otherwise objectionable or inappropriate, as determined by JustScribes.com in its sole discretion.

9.3 Faith-Based Content Standards. Consistent with the Platform’s identity as a Christian faith-based community, Content that is consistent with Christian values and principles is actively welcomed. Content that is intentionally disparaging of, or designed to undermine or attack, the Christian faith, Christian Scripture, or Christian community members may be removed at JustScribes.com’s discretion, as such Content is inconsistent with the foundational character and purpose of the Platform.

9.4 Platform’s Enforcement Rights. JustScribes.com reserves the right, but assumes no obligation, to monitor, review, screen, edit, refuse, or remove any User Content at any time and for any reason, without prior notice and without liability to any User. JustScribes.com’s decision to remove or retain any particular Content shall be final and binding. The exercise or non-exercise of this right shall not create any liability on the part of JustScribes.com.

9.5 User Responsibility. Notwithstanding JustScribes.com’s reservation of rights under this Section, each User is and remains solely responsible for their own User Content and for the consequences of submitting, posting, or publishing such User Content on the Platform. Section 11 — Disclaimers and Limitation of Warranties

11.1 “As Is” and “As Available” Basis. THE PLATFORM, INCLUDING ALL CONTENT, FEATURES, SERVICES, AND FUNCTIONALITY, IS PROVIDED ON AN “AS IS,” “AS AVAILABLE,” AND “WITH ALL FAULTS” BASIS, WITHOUT REPRESENTATION OR WARRANTY OF ANY KIND. JUSTSCRIBES.COM, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, EXPRESSLY DISCLAIMS ALL WARRANTIES, CONDITIONS, AND REPRESENTATIONS OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.

11.2 Specific Warranty Disclaimers. WITHOUT LIMITING THE GENERALITY OF SECTION 11.1, JUSTSCRIBES.COM SPECIFICALLY DISCLAIMS ALL WARRANTIES OF:

1. MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE;
2. NON-INFRINGEMENT OF THIRD-PARTY RIGHTS;
3. TITLE AND QUIET ENJOYMENT;
4. ACCURACY, COMPLETENESS, RELIABILITY, TIMELINESS, OR QUALITY OF ANY CONTENT ON THE PLATFORM;
5. UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE OPERATION OF THE PLATFORM;
6. RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE PLATFORM;
7. CORRECTNESS OF ANY ERRORS OR DEFECTS IN THE PLATFORM BEING CORRECTED; AND
8. FREEDOM FROM VIRUSES, MALWARE, OR OTHER HARMFUL COMPONENTS.

11.3 No Guarantee of Uptime. JustScribes.com makes no warranty or guarantee that the Platform will be available at any particular time or location, that any defects or errors will be corrected, or that the Platform is free of viruses or other harmful components. The Platform may be subject to delays, interruptions, errors, or other limitations. JustScribes.com reserves the right to suspend, limit, restrict, or discontinue the Platform or any feature thereof at any time.

11.4 No Warranty as to User Content. JUSTSCRIBES.COM MAKES NO WARRANTY OR REPRESENTATION REGARDING ANY USER CONTENT ON THE PLATFORM, INCLUDING ITS ACCURACY, COMPLETENESS, TRUTHFULNESS, RELIABILITY, OR FITNESS FOR ANY PURPOSE. YOU RELY ON USER CONTENT AT YOUR SOLE RISK.

11.5 Jurisdictional Limitations. Some jurisdictions do not allow the exclusion of implied warranties or certain other disclaimers. To the extent that any such laws apply, the disclaimers set forth in this Section shall apply to the fullest extent permitted by applicable law in your jurisdiction. Nothing in this Section is intended to limit rights that cannot be lawfully disclaimed under applicable law.

Section 12 — Limitation of Liability

12.1 Exclusion of Certain Damages. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL JUSTSCRIBES.COM, ITS OWNER(S), OPERATOR(S), DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, CONTRACTORS, LICENSORS, SERVICE PROVIDERS, AFFILIATES, SUCCESSORS, OR ASSIGNS (COLLECTIVELY, THE “JUSTSCRIBES PARTIES”) BE LIABLE FOR ANY:

1. INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES OF ANY KIND;
2. LOSS OF PROFITS, REVENUE, DATA, BUSINESS, GOODWILL, REPUTATION, OR ANTICIPATED SAVINGS;
3. COSTS OF SUBSTITUTE GOODS, SERVICES, OR TECHNOLOGY;
4. PERSONAL INJURY OR EMOTIONAL DISTRESS ARISING FROM USE OF THE PLATFORM;
5. UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA; OR
6. ANY OTHER MATTER RELATING TO OR ARISING FROM YOUR USE OF THE PLATFORM,

WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, STATUTE, OR ANY OTHER LEGAL THEORY, AND REGARDLESS OF WHETHER THE JUSTSCRIBES PARTIES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

12.2 Cap on Liability. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF THE JUSTSCRIBES PARTIES TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE PLATFORM, REGARDLESS OF THE FORM OF THE ACTION OR THE BASIS OF THE CLAIM, SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO JUSTSCRIBES.COM, IF ANY, DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) FIFTY UNITED STATES DOLLARS (USD $50.00).

12.3 No Liability for User Content. THE JUSTSCRIBES PARTIES SHALL NOT BE LIABLE FOR ANY DAMAGES, LOSSES, OR LIABILITIES ARISING FROM OR IN CONNECTION WITH ANY USER CONTENT POSTED, SUBMITTED, OR OTHERWISE MADE AVAILABLE ON THE PLATFORM BY ANY USER OR THIRD PARTY. JUSTSCRIBES.COM DOES NOT ENDORSE ANY USER CONTENT AND IS NOT RESPONSIBLE FOR THE ACCURACY, LEGALITY, DECENCY, OR ANY OTHER ASPECT OF SUCH CONTENT.

12.4 Essential Basis of Bargain. THE PARTIES ACKNOWLEDGE THAT THE LIMITATIONS OF LIABILITY IN THIS SECTION REFLECT A REASONABLE ALLOCATION OF RISK AND ARE A FUNDAMENTAL ELEMENT OF THE BASIS OF THE BARGAIN BETWEEN JUSTSCRIBES.COM AND YOU. JUSTSCRIBES.COM WOULD NOT BE ABLE TO PROVIDE THE PLATFORM ON AN ECONOMICALLY VIABLE BASIS WITHOUT THESE LIMITATIONS.

12.5 Jurisdictional Limitations. Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so some of the above limitations may not apply to you. In such jurisdictions, JustScribes.com’s liability shall be limited to the maximum extent permitted by applicable law.

Section 13 — Indemnification

13.1 User’s Indemnification Obligation. To the fullest extent permitted by applicable law, you agree to indemnify, defend (with counsel acceptable to JustScribes.com), and hold harmless JustScribes.com and each of the JustScribes Parties (as defined in Section 12.1) from and against any and all claims, demands, actions, proceedings, investigations, suits, liabilities, damages, losses, judgments, penalties, fines, costs, and expenses, including reasonable attorneys’ fees and court costs, arising out of, relating to, or in connection with:

1. Your access to or use of the Platform in any manner;
2. Any User Content you submit, post, transmit, or otherwise make available on or through the Platform;
3. Your violation of any provision of these Terms, including any representation or warranty made herein;
4. Your violation of any applicable law, regulation, rule, or ordinance;
5. Your infringement, misappropriation, or violation of any intellectual property rights, privacy rights, publicity rights, or other rights of any third party;
6. Your negligence, willful misconduct, or fraudulent conduct; or
7. Any dispute between you and any other User or third party arising from your use of the Platform.

13.2 Cooperation. You agree to cooperate fully with JustScribes.com in the defense of any claim or matter subject to indemnification under this Section. JustScribes.com reserves the right, at its own expense, to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with JustScribes.com’s defense of such matter.

13.3 No Settlement Without Consent. You shall not settle any claim subject to indemnification under this Section without the prior written consent of JustScribes.com, which shall not be unreasonably withheld.

Section 14 — Dispute Resolution and Arbitration

14.1 Informal Resolution Period. Before initiating any formal dispute resolution proceeding, you agree to first contact JustScribes.com in writing at the contact information provided in Section 20 and attempt to resolve the dispute informally. JustScribes.com will attempt to resolve your concern within thirty (30) calendar days of receiving written notice. If the dispute cannot be resolved informally within thirty (30) days, either party may then proceed to formal dispute resolution as set forth in this Section.

14.2 Mandatory Binding Arbitration. EXCEPT AS PROVIDED IN SECTIONS 14.5 AND 14.6, ANY AND ALL DISPUTES, CONTROVERSIES, CLAIMS, OR CAUSES OF ACTION ARISING OUT OF OR RELATING TO THESE TERMS, YOUR USE OF THE PLATFORM, OR THE RELATIONSHIP BETWEEN YOU AND JUSTSCRIBES.COM SHALL BE RESOLVED EXCLUSIVELY THROUGH FINAL AND BINDING ARBITRATION, RATHER THAN IN COURT. YOU UNDERSTAND AND ACKNOWLEDGE THAT BY AGREEING TO BINDING ARBITRATION, YOU ARE WAIVING YOUR RIGHT TO A JURY TRIAL AND YOUR RIGHT TO HAVE YOUR CLAIMS DECIDED BY A JUDGE OR JURY IN A COURT OF LAW.

14.3 Arbitration Procedures. Arbitration shall be administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules (or such other rules as the AAA may designate as applicable), or, at JustScribes.com’s election, by JAMS pursuant to its Streamlined Arbitration Rules and Procedures, as modified by this Section. The arbitration shall be conducted by a single arbitrator. The arbitration shall be conducted in the English language. The arbitrator’s award shall be in writing and shall include a statement of findings of fact and conclusions of law upon which the award is based. The arbitrator’s decision shall be final and binding on both parties and may be entered as a judgment in any court of competent jurisdiction.

14.4 Location of Arbitration. Unless the parties agree otherwise, arbitration shall be conducted remotely by telephone, videoconference, or through submission of documents, to the extent permitted by the applicable arbitration rules. If an in-person hearing is required, it shall be conducted in the state identified in Section 16 as the governing jurisdiction.

14.5 Class Action Waiver. YOU AND JUSTSCRIBES.COM EACH AGREE THAT ANY DISPUTE RESOLUTION PROCEEDING — WHETHER IN ARBITRATION OR OTHERWISE — WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU EXPRESSLY WAIVE ANY RIGHT TO BRING OR PARTICIPATE IN ANY CLASS ACTION, COLLECTIVE ACTION, PRIVATE ATTORNEY GENERAL ACTION, OR OTHER REPRESENTATIVE PROCEEDING AGAINST JUSTSCRIBES.COM. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON’S CLAIMS, AND MAY NOT OTHERWISE PRESIDE OVER ANY FORM OF REPRESENTATIVE OR CLASS PROCEEDING. IF THIS CLASS ACTION WAIVER IS FOUND UNENFORCEABLE WITH RESPECT TO ANY CLAIM OR REQUEST FOR RELIEF, THEN THAT CLAIM OR REQUEST SHALL BE SEVERED FROM ARBITRATION AND DECIDED IN COURT, SUBJECT TO THE REMAINING PROVISIONS OF THIS SECTION.

14.6 Exceptions to Arbitration. Notwithstanding Section 14.2, the following matters shall not be subject to mandatory arbitration and may be pursued in a court of competent jurisdiction:

1. Claims that qualify for resolution in small claims court, provided such claims remain within the jurisdiction of such court and are not consolidated with any other matter;
2. Applications for emergency or temporary injunctive relief, a temporary restraining order, or other emergency equitable relief to protect a party’s intellectual property rights or confidential information pending arbitration; and
3. Claims that applicable law expressly requires to be decided by a court.

14.7 Arbitration Fees. The allocation of arbitration fees and costs shall be governed by the applicable rules of the arbitration administrator. JustScribes.com will pay arbitration costs required to be paid by it under applicable arbitration rules. Each party shall bear its own attorneys’ fees and costs unless the arbitrator awards attorneys’ fees to a party pursuant to applicable law.

14.8 Severability of Arbitration Provisions. If any portion of this Section 14 (other than the class action waiver in Section 14.5) is found to be void, invalid, or unenforceable, the remaining portions of this Section shall remain in full force and effect.

Section 15 — Account Termination and Suspension

15.1 Termination or Suspension by JustScribes.com. JustScribes.com reserves the right, in its sole and absolute discretion, to suspend, restrict, disable, or permanently terminate your Account and your access to the Platform, at any time, with or without prior notice, and with or without cause, including but not limited to the following circumstances:

1. Violation of any provision of these Terms, including the Acceptable Use Policy or the Prohibited Conduct provisions;
2. Submission of Content that violates these Terms, applicable law, or the rights of any third party;
3. Conduct that JustScribes.com, in its sole discretion, determines to be harmful, offensive, disruptive, or detrimental to the Platform community;
4. Provision of false, inaccurate, or misleading registration information;
5. Failure to pay any applicable fees or charges when due;
6. Request by law enforcement or other governmental authority; or
7. Any other reason or no reason, at JustScribes.com’s sole discretion.

15.2 Effect of Termination. Upon termination of your Account for any reason:

1. Your right to access and use the Platform shall immediately cease;
2. JustScribes.com may, in its sole discretion, delete, remove, or retain your User Content and Account information, subject to applicable law and the Privacy Policy;
3. The license you granted to JustScribes.com under Section 8.2 with respect to User Content that JustScribes.com has already used or distributed shall survive termination;
4. All provisions of these Terms that by their nature should survive termination — including, without limitation, Sections 6, 7, 8, 11, 12, 13, 14, 16, 18, 19, and 21 — shall survive; and
5. JustScribes.com shall have no liability to you for any termination of your Account or deletion of your User Content, except as may be required by applicable law.

15.3 User’s Right to Close Account. You may close your Account at any time by following the account deletion procedures available within your Account settings or by submitting a written request to JustScribes.com at the contact information provided in Section 20. Closure of your Account does not relieve you of any obligations or liabilities incurred prior to closure, and these Terms shall continue to apply with respect to any claims arising prior to account closure.

15.4 No Reinstatement Right. JustScribes.com’s decision to terminate an Account is final. You shall have no right to reinstatement of a terminated Account unless JustScribes.com, in its sole and absolute discretion, elects to permit reinstatement in writing.

Section 16 — Governing Law and Jurisdiction

16.1 Governing Law. These Terms of Service, and any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Platform — including any question regarding their existence, validity, interpretation, breach, or termination — shall be governed by and construed in accordance with the laws of the State of [STATE], without regard to its conflict of law principles, choice of law rules, or any rules that would cause the laws of any other jurisdiction to apply.

16.2 Exclusive Jurisdiction. For any dispute, claim, or proceeding that is not subject to mandatory arbitration under Section 14, or for any matter falling within the exceptions set forth in Section 14.6, you hereby irrevocably and unconditionally consent to submit to the exclusive personal jurisdiction of the state and federal courts located in the State of [STATE], and you waive any objection to the laying of venue of any such proceeding in such courts and any claim that such proceeding has been brought in an inconvenient forum.

16.3 International Users. JustScribes.com is operated from within the United States. JustScribes.com makes no representation that the Platform or its Content is appropriate for access or use in any jurisdiction outside the United States. If you access the Platform from outside the United States, you do so at your own risk and are responsible for compliance with the laws of your local jurisdiction. Access to the Platform from any jurisdiction where such access is illegal is strictly prohibited.

Section 17 — Changes to Terms

17.1 Right to Modify. JustScribes.com reserves the right, in its sole discretion, to modify, amend, update, supplement, or replace any provision of these Terms of Service at any time and for any reason. All modifications shall be effective upon posting the updated Terms to the Platform, unless a different effective date is expressly stated.

17.2 Notice of Changes. JustScribes.com will make reasonable efforts to provide notice of material changes to these Terms by one or more of the following methods: (a) posting a prominent notice on the Platform; (b) updating the “Effective Date” at the top of these Terms; or (c) sending an email notification to the email address associated with your Account. It is your responsibility to review these Terms periodically to remain informed of any updates.

17.3 Acceptance of Amended Terms. YOUR CONTINUED ACCESS TO OR USE OF THE PLATFORM FOLLOWING THE POSTING OF MODIFIED TERMS CONSTITUTES YOUR ACCEPTANCE OF SUCH MODIFICATIONS. IF YOU DO NOT AGREE TO THE MODIFIED TERMS, YOU MUST IMMEDIATELY CEASE ALL USE OF THE PLATFORM AND CLOSE YOUR ACCOUNT. The date of the most recent revisions will always appear at the top of these Terms under “Effective Date.”

17.4 Existing Disputes. Any amendment to these Terms shall not apply retroactively to disputes that arose before the effective date of the amendment, unless the parties expressly agree otherwise in writing.

Section 18 — Severability

18.1 Severability of Provisions. If any provision, clause, or portion of these Terms is held by a court of competent jurisdiction or an arbitrator to be invalid, void, illegal, unenforceable, or contrary to applicable law for any reason, such provision shall be: (a) modified to the minimum extent necessary to make it enforceable and consistent with the parties’ original intent; or (b) if modification is not possible, severed from these Terms.

18.2 Survival of Remaining Provisions. The invalidity, unenforceability, or severance of any provision shall not affect, impair, or invalidate any other provision of these Terms. All remaining provisions shall continue in full force and effect as if the invalid or unenforceable provision had never been included.

18.3 Reformation. In the event that a provision is found unenforceable due to its scope, breadth, or duration, a court or arbitrator shall have the authority to limit or reduce the scope, breadth, or duration of such provision to the minimum extent necessary to render it enforceable under applicable law.

Section 19 — Entire Agreement

19.1 Complete Agreement. These Terms of Service, together with the Privacy Policy and any other policies, guidelines, or agreements expressly incorporated herein by reference, constitute the entire and exclusive agreement between you and JustScribes.com with respect to your use of the Platform and supersede and replace all prior or contemporaneous agreements, understandings, representations, warranties, negotiations, and communications, whether oral or written, between the parties relating to the subject matter hereof.

19.2 No Merger of Prior Agreements. No prior drafts of these Terms, and no prior agreements between you and JustScribes.com, shall be construed to modify or limit the scope or application of these Terms unless expressly incorporated herein in writing.

19.3 No Oral Modification. These Terms may not be modified, amended, or supplemented by any oral representation, course of dealing, course of performance, or trade usage. All modifications must be in writing and either: (a) posted to the Platform by JustScribes.com in accordance with Section 17; or (b) executed in writing by an authorized representative of JustScribes.com.

19.4 Headings. Section headings used in these Terms are for convenience of reference only and shall not affect the interpretation or construction of any provision hereof.

19.5 No Waiver. The failure of JustScribes.com to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms must be in writing and signed by an authorized representative of JustScribes.com to be effective.

19.6 No Third-Party Beneficiaries. These Terms are for the sole and exclusive benefit of the parties hereto. Nothing in these Terms shall be construed to create any right, benefit, or cause of action in favor of any third party.

20.3 Designated DMCA Agent. For notices of claimed copyright infringement pursuant to the Digital Millennium Copyright Act (“DMCA”), please direct all such notices to the same contact information listed above, clearly marked “DMCA Notice.” JustScribes.com will respond to properly submitted DMCA notices in accordance with applicable law.

Section 21 — User Acknowledgment

21.1 Acknowledgment of Terms. BY ACCESSING, VISITING, BROWSING, REGISTERING FOR, OR USING JUSTSCRIBES.COM IN ANY MANNER WHATSOEVER, YOU HEREBY EXPRESSLY ACKNOWLEDGE, CONFIRM, AND AGREE THAT:

1. YOU HAVE READ THESE TERMS OF SERVICE IN THEIR ENTIRETY;
2. YOU HAVE HAD A FULL AND ADEQUATE OPPORTUNITY TO REVIEW THESE TERMS AND TO SEEK INDEPENDENT LEGAL COUNSEL REGARDING THEIR CONTENT AND EFFECT;
3. YOU FULLY UNDERSTAND THESE TERMS, INCLUDING ALL PROVISIONS RELATING TO LIMITATION OF LIABILITY, DISCLAIMERS OF WARRANTIES, MANDATORY BINDING ARBITRATION, CLASS ACTION WAIVER, AND INDEMNIFICATION;
4. YOU AGREE TO BE LEGALLY BOUND BY ALL PROVISIONS OF THESE TERMS OF SERVICE IN THEIR ENTIRETY; AND
5. IN PARTICULAR, YOU EXPRESSLY ACKNOWLEDGE, ACCEPT, AND ARE BOUND BY THE CHRISTIAN FAITH-BASED CONTENT ACKNOWLEDGMENT AND WAIVER SET FORTH IN SECTION 6, WHICH YOU UNDERSTAND IS A MATERIAL, CORE, AND NON-NEGOTIABLE CONDITION OF YOUR USE OF THE PLATFORM.

21.2 Voluntary Acceptance. You acknowledge that your acceptance of these Terms is voluntary, that you have not been induced to accept these Terms through fraud, misrepresentation, duress, or undue influence, and that the terms and conditions hereof are fair and reasonable under all circumstances.

21.3 Effective Date of Acceptance. Your acceptance of these Terms becomes effective upon your first access to or use of the Platform and continues in effect for so long as you access or use the Platform, subject to any amendments made in accordance with Section 17.
